Spectra Health LLC, a Wyoming limited liability company (“Spectra Health”) — Terms of Use
1. Acceptance
By creating an account or using Spectra, you agree to these Terms on behalf of yourself and your practice/organization. If you do not agree, do not use the service.
2. Eligibility
The service is for licensed healthcare providers and their authorized staff. You represent that you are authorized to act for your practice and to enter patient information lawfully.
3. The service is decision support — not a medical device or medical advice
Spectra administers validated screening instruments and suggests CPT/ICD-10 billing codes. It does not diagnose, does not provide medical advice, and is not an FDA-cleared diagnostic device. All results require independent review and clinical judgment by a qualified provider. You are solely responsible for clinical decisions, patient safety, and follow-up — including acting on any suicide-risk flag under your own clinical and safety protocols and applicable crisis-response obligations.
4. Billing-code suggestions are informational
Suggested codes, units, and modifiers restate general CMS/AMA guidance and may be incomplete or out of date. You and your certified coder are responsible for verifying every code against documentation and your payer contracts before submission. CPT is © the American Medical Association. Spectra is not responsible for claims, denials, audits, or reimbursement outcomes.
5. Provider responsibilities and PHI
You are the Covered Entity (or its agent) for patient data. You must: obtain all required patient consents (including under 42 CFR Part 2 for substance-use data), use the service lawfully, enter accurate identifiers, and execute a Business Associate Agreement with us before transmitting PHI. You must not enter PHI before a BAA is in effect.
6. Subscriptions and payment
Paid plans are billed at the rates shown (e.g., $1,000/provider/month) via Stripe, after any free trial. Subscriptions renew until canceled. [Refund/cancellation terms — specify.] You authorize recurring charges to your payment method.
7. Acceptable use
Do not misuse the service, attempt to access others’ data, reverse engineer, resell, or use it for unlawful purposes or outside a legitimate treatment/operations context.
8. Intellectual property
Spectra and its software, content, and trademarks are owned by Spectra Health. You receive a limited, non-transferable license to use the service. Third-party instruments remain the property of their owners and are used under their respective terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTRA HEALTH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR CLINICAL, CODING, OR REIMBURSEMENT DECISIONS. OUR TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM.
11. Indemnification
You will indemnify Spectra Health against claims arising from your use of the service, your clinical or billing decisions, or your failure to obtain required consents.
12. Termination
Either party may terminate per the agreement; we may suspend for non-payment or violation. PHI handling on termination is governed by the BAA.
13. Governing law / disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.
14. Changes
We may update these Terms and will post the new effective date.
